By assenting electronically, accessing, installing or using a Locale Sync service, Customers accepts all the terms and conditions here detailed.
1.1 In order to use LocaleSync, Customer must register via sign-up page and provide certain identifying information and contact details, including an email address. It is up to Customer to keep data up-to-date and accurate, this way allowing LocaleSync to contact Customer in case of any need.
2.1 LocaleSync grants Customer a non-exclusive, non-transferable and
non-sublicensable license during the subscription period, including
free tier accounts, to use LocaleSync's solutions for Customer's
internal business purposes in accordance with this terms.
2.2 Customer grants LocaleSync a non-exclusive, non-transferable and non-sublicensable
license to use the Customer content for the purposes of providing LocaleSync's
services and to maintain and enhance its products and service offerings,
including data analysis.
2.3 Customer must not use LocaleSync for any fraudulent or illegal purposes.
2.3.1 In case of fraudulent or illegal use, LocaleSync may suspend Customer's
account or terminate Customer's subscription.
2.3.2 In case of fraudulent or illegal use, LocaleSync may give Customer's
data access rights to third parties, not only but not limited to: legal
entities & goverment authorities.
3.1 All intellectual property rights related to Locale Sync's products
and services, such as documentations, aplications, and any others, are
owned by Locale Sync.
3.2 As between LocaleSync and Customer, Customer is, and will always be,
the owner of the content provided within Locale Sync usage.
3.3 Customer represents and warrants that it owns, or, to the extent applicable,
has the necessary rights and permissions to use and authorise use of the
content as described in these terms.
4.1 These terms will remain effective until they are terminated or
expire in accordance with the terms herein.
4.2 The Subscription Fees during any renewal term will remain the same
as they were during the preceding term unless LocaleSync notifies Customer
of any change of Subscription Fees at least 60 days in advance of such
renewal.
4.3 In case of termination of these terms, Customer will immediately stop
using LocaleSync services.
4.4 In case of termination of these terms, the conditions about the content
authority will remain in force.
5.1 Customer acknowledges and agrees to the LocaleSync Pricing which
is detailed in the Landing Page's Pricing section.
5.2 All Subscription Fees are non-cancellable and non-refundable. As a
non-exclusive remedy, if Customer fails to pay any fee or any amount payable
to LocaleSync on its due date, LocaleSync has the right to suspend Customer's
account.
5.3 Subscription Fees may change or be adjusted at any time since Customers
must be notified of any change of Subscription Fees at least 60 days before
the change occurs.
5.4 Item 5.3 above applies to changes on on-going Subscription Fees.
5.5 Customer agrees to pay all Subscription Fees in accordance with the
terms of these terms.
6.1 Locale Sync is committed to maintaining the confidentiality of
Customer's information.
6.2 Locale Sync can use Customer's brand information, such as Logo and
Name, for marketing purposes, since, and only if, Customer has given permission
to do so.
